Lid Holdings

1. Acceptance of Terms
By accessing or using the BLADE platform at buildwithblade.com (the "Platform"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not access or use the Platform. These Terms constitute a legally binding agreement between you and Lid Holdings ("Company", "we", "us", or "our"). Your continued use of the Platform following any changes to these Terms constitutes your acceptance of those changes.
2. Description of Service
BLADE is a SaaS (Software as a Service) land intelligence platform designed exclusively for independent residential homebuilders. The Platform provides tools including but not limited to: deal analysis, hot deals feed, AI advisory (Builder Buddy), pipeline CRM, and Builder DNA personalisation. The Platform is provided on a subscription basis and is intended for use by business professionals in the residential homebuilding industry in the United States.
3. Eligibility
You must be at least 18 years of age and have the legal authority to enter into contracts to use the Platform. By using the Platform you represent and warrant that you meet these requirements. The Platform is intended for use by businesses and business professionals — not consumers acting in a personal capacity. Use of the Platform for any unlawful purpose is strictly prohibited.
4. Accounts and Registration
To access the Platform you must create an account and provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at support@buildwithblade.com of any unauthorised access or use of your account. Lid Holdings is not liable for any loss or damage arising from your failure to maintain account security.
5. Subscription, Billing, and Payment
Access to the Platform requires a paid subscription. Subscription pricing is competitive quarterly subscription (standard rate) or founding member rate for qualifying founding members as disclosed at the time of purchase. Subscriptions are billed quarterly in advance. Payment is processed through Stripe. All fees are non-refundable except as expressly stated in these Terms or required by applicable law. Lid Holdings reserves the right to change pricing with 30 days written notice. Failure to pay any amounts due may result in suspension or termination of your access to the Platform.
6. Acceptable Use
You agree not to: (a) use the Platform for any unlawful purpose; (b) reproduce, duplicate, copy, sell, or exploit any portion of the Platform without express written permission from Lid Holdings; (c) use automated systems or software to extract data from the Platform; (d) attempt to gain unauthorised access to any portion of the Platform or its related systems; (e) transmit any viruses, malware, or other harmful code; (f) use the Platform in any manner that could damage, disable, or impair the Platform; or (g) misrepresent your identity or affiliation in connection with use of the Platform.
7. Intellectual Property
All content, features, and functionality of the Platform — including but not limited to the Builder DNA engine, Deal Analyzer, Hot Deals Feed, Builder Buddy AI, Pipeline CRM, software, text, graphics, logos, and data — are the exclusive property of Lid Holdings and are protected by United States and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your internal business purposes during your active subscription period.
8. Data and Privacy
Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform you consent to the collection, use, and sharing of your information as described in the Privacy Policy. You retain ownership of any data you input into the Platform ("User Data"). You grant Lid Holdings a limited licence to use User Data solely for the purpose of providing and improving the Platform. Lid Holdings will not sell your User Data to third parties.
9. Disclaimer of Warranties
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LID HOLDINGS DISCLAIMS ALL WARRANTIES INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LID HOLDINGS DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS. THE DEAL ANALYSIS, AI ADVISORY, AND MARKET DATA PROVIDED BY THE PLATFORM ARE TOOLS TO INFORM YOUR DECISIONS — THEY DO NOT CONSTITUTE FINANCIAL, LEGAL, OR INVESTMENT ADVICE. YOU ACKNOWLEDGE THAT ALL LAND ACQUISITION DECISIONS ARE MADE AT YOUR SOLE DISCRETION AND RISK.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LID HOLDINGS, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, OR GOODWILL — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, EVEN IF LID HOLDINGS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL LID HOLDINGS'S AGGREGATE LIABILITY TO YOU EXCEED THE AMOUNT PAID BY YOU TO LID HOLDINGS IN THE THREE MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to defend, indemnify, and hold harmless Lid Holdings and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Platform.
12. Termination
Lid Holdings may suspend or terminate your access to the Platform at any time, with or without cause, with or without notice. Upon termination you must cease all use of the Platform. Provisions of these Terms that by their nature should survive termination shall survive — including intellectual property provisions, disclaimers, indemnification, and limitations of liability. You may cancel your subscription at any time by contacting support@buildwithblade.com. No refunds are provided for the current billing period upon cancellation.
13. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of [State to be determined by Lid Holdings], without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Platform shall first be subject to good-faith negotiation. If not resolved within 30 days, the dispute shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association. Class action lawsuits and class-wide arbitration are waived to the fullest extent permitted by law.
14. Changes to These Terms
Lid Holdings reserves the right to modify these Terms at any time. Material changes will be communicated by email to your registered address or by prominent notice on the Platform at least 14 days before the changes take effect. Your continued use of the Platform after the effective date of revised Terms constitutes your acceptance of the changes.
